Version 2.0 · Effective October 27, 2026 · Zion Digital LLC, 10700 FM 1097, Willis, TX 77318 · team@ziondoesitbetter.com · (281) 499-7070
1. Agreement and acceptance. These Terms of Service ("Terms") are a binding contract between Zion Digital LLC ("Zion," "we," "us") and the business purchasing services ("Client," "you"). You accept these Terms by checking the acceptance box at checkout, signing a Zion service agreement, or paying any Zion invoice. The individual accepting confirms they are at least 18 and authorized to bind the Client and approve all payments. If you also sign a Zion service agreement or proposal, it and these Terms form one agreement; where they conflict, the signed agreement controls. These same Terms apply to every Client and every package. Sections 3, 9 and 10 apply only when your order includes the services they describe; every other section always applies.
2. Services and scope. Zion will provide the package, assistants and add-ons you selected, as described on the order page or in your signed proposal ("Services"). Services are delivered in phases based on strategy, performance data, testing cycles and platform review periods; not every listed item starts immediately or runs at the same time. Anything outside your selected Services requires a written order or amendment and may carry added fees. Zion retains creative discretion over ad design, copy, targeting and delivery, and uses both human expertise and AI-assisted tools.
3. Ad spend and ad accounts (if your order includes advertising). Ad spend is not included in any package price. You pay ad spend directly to each platform (Meta, Google, and others) through your own payment method. Recommended minimum ad spend is $350 per month per active platform. You are solely responsible for keeping valid payment methods on your ad accounts and for declined cards, unpaid balances, restricted accounts, policy violations and platform enforcement.
4. Fees, billing and payment.
• Onboarding fee. A one-time onboarding fee of $999 is charged at checkout. It covers account configuration, CRM and automation build, software and AI tool provisioning, tracking and ad account preparation. It is earned when paid and is non-refundable.
• Recurring fees. Package, assistant and recurring add-on fees are billed in advance on the 25th of each month and cover the following month of service (a payment on October 25 covers November). At checkout you pay a prorated fee for the days from your start date through the end of that month. If you sign up after the 25th, checkout also includes the following month's fee. Regular billing on the 25th starts after that. One-time add-ons are charged at checkout. Setup fees for AI assistants are charged with the first invoice.
• Card on file. You authorize Zion and its payment processor (Stripe) to charge the payment method you provide for all recurring fees, one-time fees, usage overages, late fees and outstanding balances under these Terms, until your Services end and all amounts are paid.
• Late payment. Invoices unpaid 7 days after billing incur a $50 late fee. If an invoice is still unpaid by the 1st of the service month, Zion may pause all Services until your account is current. Billing continues during a pause.
• Usage charges. AI assistants include a monthly usage allowance. Usage beyond it, and text message and carrier fees, are billed at the rates shown at purchase. Clients using Zion's third-party CRM or texting platform also pay a platform fee of $35 per month, billed separately from package fees.
• Taxes. Prices exclude applicable sales and use taxes, which are added where required.
• Price changes. Zion may change recurring prices with at least 30 days' written notice, effective at your next billing period after the notice.
5. Term, renewal and cancellation. Your Services begin on the date you accept these Terms and pay the onboarding fee, and run for an initial term of 4 months (or the term stated in your signed proposal). After the initial term, your Services automatically renew month to month until cancelled. To end Services at the close of the initial term, give written notice before the initial term ends. After that, either party may cancel with at least 60 days' written notice. Notice must be submitted through the Cancellation page on Zion's website or emailed to team@ziondoesitbetter.com, and is effective when Zion confirms receipt in writing. All Services and fees continue through the notice period. Removing Zion's access, revoking permissions or disabling accounts does not cancel your Services or end your payment obligations.
6. Refunds. Because work, staffing and software provisioning begin immediately, all fees are non-refundable, including onboarding fees, setup fees, completed work and unused time or services, except where a refund is required by law. Dissatisfaction with results, delays you cause, or a decision not to use part of your Services does not entitle you to a refund or credit.
7. Client responsibilities. You agree to provide, on time: access to your ad accounts, websites, phone systems, calendars and other platforms; brand materials and approvals; filming availability; and accurate business information. Zion is not responsible for missed deliverables, posts or launches caused by your delays, and billing continues during them. If you become unresponsive, Zion may pause work until communication resumes. You remain in full control of your business, including pricing, staffing, customer service, and responding to and closing leads.
8. No guarantee of results. Zion provides marketing, advertising and support services only. Zion does not guarantee lead volume, lead quality, calls, bookings, conversions, sales, revenue, rankings or return on investment. Results depend on factors outside Zion's control, including your budget, offer, pricing, website, response time, sales process, competition, market conditions and platform algorithms. Zion does not create bots or artificial traffic and relies on platforms for spam and fraud filtering. Dissatisfaction with results is not a breach, failure of service or grounds for refund or chargeback.
9. Texting, calling and communications compliance (if your order includes texting, calling or automated follow-up). Services such as automated follow-up, missed-call text-back, review requests, AI Texting Blasts, Lead Caller and other AI phone assistants send texts and place calls on your behalf to contacts you provide or that your campaigns generate. You are the sender of these communications and are responsible for their legality. You represent and warrant that:
• you have, and will keep records of, all consents required by law to text and call each contact, including prior express written consent where required for marketing messages and automated or AI-voiced calls;
• contact lists you provide were lawfully collected, and you will not provide purchased or scraped lists;
• you will honor opt-outs and Do-Not-Call requests promptly and tell Zion of any you receive directly;
• your messages, offers and business comply with the Telephone Consumer Protection Act, CAN-SPAM, state telemarketing and call-recording laws, carrier rules and 10DLC registration requirements; and
• you will provide accurate business information for carrier registration.
Zion may refuse, delay or stop any campaign, list or message it believes creates legal or carrier risk. Zion is not responsible for message filtering, carrier blocks, opt-outs or registration delays.
10. AI assistants (if your order includes an AI assistant or cloned voice).
• AI can make mistakes. AI assistants may misunderstand callers, give incomplete or incorrect information, fail to answer, drop calls, or book, miss or double-book appointments. You are responsible for reviewing their configuration, scripts and outputs and for any commitment made to your customers. AI assistants are not a substitute for licensed professional advice, emergency services or human supervision.
• Disclosure and recording. AI assistants may identify themselves as automated, and calls may be recorded and transcribed to deliver and improve the Services. You are responsible for any disclosures, notices and consents your industry and customers' locations require.
• No regulated or sensitive use. You will not use AI assistants to handle emergencies, give medical, legal or financial advice, or collect payment card numbers, government IDs or health information unless Zion agrees in writing.
• Beta features. Features marked "Beta" or "Coming soon," including the Owner's Assistant, are provided as-is, may change or be discontinued, and carry no uptime or performance commitment.
• Voice cloning. If you order a custom cloned voice, you represent that you have the written consent of the person whose voice is cloned for its use in your Services, and you will provide that consent to Zion on request. Zion will not clone the voice of any person without it.
• Third-party AI providers. AI Services rely on third-party providers whose outages or changes are outside Zion's control.
11. Content, filming and portfolio. You grant Zion a license to use your name, logos, brand assets, images, footage and business information to provide the Services. You represent that you own or have permission to use all materials you provide, and that you have obtained releases from every person, employee or customer who appears in content you provide or who Zion films at your request. Zion may display completed work and your name and logo in its portfolio and marketing unless you opt out in writing.
12. Ownership and intellectual property. Once all invoices are paid in full, you receive a non-exclusive license to use the final edited content for your own marketing. Zion keeps ownership of all raw footage, unedited content, working files, templates, CRM builds, automations, pipelines, AI assistant configurations, scripts, campaign structures and methods, and does not provide raw files under any circumstance. Lead contact data generated during active Services belongs to you and can be exported at your request before your final service month ends; you are responsible for saving any content you want, as Zion removes files from its systems after that. You may request transfer of administrative control of your CRM build for $4,000, excluding Zion's proprietary templates and methods. When Services end, Zion will remove its access to your accounts and delete Zion-created campaigns, audiences, custom data and settings from them.
13. Indemnification. You will defend, indemnify and hold harmless Zion, its owners, employees and contractors from all claims, fines, penalties, damages and costs, including reasonable attorney fees, arising from: (a) texts, calls or messages sent for you, including claims under the TCPA or similar laws; (b) materials, contact lists, likenesses or voices you provide; (c) your products, services, offers, pricing or advertising claims; (d) your handling of leads and customers; or (e) your breach of these Terms or of any law.
14. Limitation of liability. Zion's total liability for all claims relating to the Services or these Terms is limited to the fees you paid Zion in the 90 days before the claim arose. Zion is not liable for lost profits, revenue, leads, data or business opportunities, or for any indirect, incidental, special or consequential damages, even if advised of the possibility. Except as stated in these Terms, the Services are provided without warranties of any kind, express or implied.
15. Payment disputes and chargebacks. You authorize every charge made under these Terms and agree they are valid charges for services rendered. Before filing any chargeback, payment reversal or claim of unauthorized charge, you must email team@ziondoesitbetter.com describing the concern and give Zion at least 15 days to investigate and respond in good faith. Dissatisfaction with results, strategy, creative, lead quality or volume, or platform issues is not grounds for a chargeback. A chargeback for authorized charges is a material breach: all outstanding and remaining-term fees become immediately due, and you will reimburse processor fees, collection costs, reasonable attorney fees and Zion's documentation time at $250 per hour.
16. Personal guarantee. If the Client is a business entity, the individual accepting these Terms personally and unconditionally guarantees the Client's payment obligations under them. This guarantee is accepted through a separate checkbox at checkout or a separate signature line.
17. Separate legal entity. Zion is a company separate from its owners, including Kyle Ewald. You contract only with Zion and will not assert personal liability against any owner, officer or employee.
18. Governing law and disputes. These Terms are governed by the laws of the State of Texas. Before filing any claim, a party must give written notice and attempt in good faith to resolve the dispute for 30 days, then participate in mediation in Montgomery County, Texas. Any lawsuit must be brought in the state or federal courts serving Montgomery County, Texas, and both parties consent to that venue. The prevailing party is entitled to recover reasonable attorney fees and costs. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY DISPUTE RELATING TO THESE TERMS OR THE SERVICES. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION.
19. Confidentiality and data. Each party will keep the other's non-public business information confidential and use it only to perform under these Terms. Zion handles your leads' and customers' contact information only to provide the Services, protects it with reasonable safeguards, and does not sell it. You are responsible for having a privacy policy and any notices your customers are owed. Zion's handling of website visitors' information is described in its Privacy Policy on Zion's website.
20. Non-disparagement. You agree not to publish false or misleading statements of fact about Zion, its owners or employees, and to follow the dispute process in section 18 before raising a dispute publicly. Nothing in these Terms restricts honest reviews or your right to communicate with any government agency.
21. Third-party platforms. Zion does not control Meta, Google, TikTok, YouTube, LinkedIn, carriers, CRM, AI or other third-party platforms, and is not responsible for their outages, policy changes, algorithm changes, suspensions, bans or fees.
22. Termination for cause. Zion may suspend or end the Services immediately if you fail to pay, breach these Terms, ask Zion to do anything unlawful or unethical, or are abusive toward Zion's team. Work already paid for will be completed where practical, amounts owed for Services performed remain due, and no refund is owed for unused time or Services.
23. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, except for payment obligations.
24. General. You consent to electronic signatures and records; checking the acceptance box is your signature. Zion keeps a record of the date, time, account and version of the Terms you accepted. Zion may update these Terms for future purchases and renewals with at least 30 days' notice by email; the version you accepted governs until then. You may not assign these Terms without Zion's written consent. Notices to Zion go to team@ziondoesitbetter.com; notices to you go to the email on your account. Zion is an independent contractor. If any provision is unenforceable, the rest remains in effect. Sections 4, 6, 8 and 12 through 24 survive the end of your Services. These Terms, with any signed proposal or service agreement, are the entire agreement between the parties.
